Document and Template Management

Wingform facilitates the automatic drafting of essential legal and transaction documents such as Letters of Intent, Escrow Agreements, Aircraft Sales and Purchase Agreements, Technical Acceptance Letters, and closing documents. These are generated based on the information you provide about the aircraft, counterparties, and specific terms and conditions of your deal.

The document and template management system on Wingform allows to:

  • keep all your templates in one place;

  • use placeholders to automatically populate transaction-specific data in documents;

  • edit the templates and documents onsite, invite other editors and commentators to a document for collaboration, redline the templates online, create new templates from existing ones, etc. Find more details about the built-in editor here.

  • automatically create deal-specific documents in the course of the transaction;

  • download the documents

  • arrange digital signing of transaction documents via DocuSign.

Types of Templates and Documents

You can utilize document templates in three ways:

- System Templates: Pre-drafted by experienced aviation attorneys, these templates incorporate standard details and covenants typically found in aircraft transaction agreements.

- Personal Templates: You may integrate your templates into your Wingform workspace for different transaction scenarios and use them in all your deals.

- Deal Documents: Based on the selected system or personal templates, deal documents are created specifically for your transaction, considering its peculiarities.

In the "Documents" section, you can access and manage the system or personal templates, and deal documents.

System templates can be downloaded in .docx format for your review. It is impossible to modify system templates. However, you can use them to create your personal templates.

As for personal templates, you can add new templates, modify existing ones in the built-in editor, or delete the template.

Deal Template section contains documents for your specific deals. You can also modify them from the Documents page.

Adding Personal Templates

When adding new templates, select a document type and subtype (if available).

Make sure that you select the right document type and subtype, as the platform will consider it when offering a template based on the selected deal flows.

(!) It’s recommended to design your personal templates to be comprehensive, covering all potential clauses that can later be excluded when finalizing deal-specific templates and documents. This approach allows for the reuse of templates across different transactions. Additionally, you can maintain multiple versions of the same document type tailored to different transaction scenarios.

Managing Deal-Specific Templates

When setting up a new deal, after entering the deal’s terms and conditions, you will be prompted to the page where you can select and alter templates.

1. Select a system or personal template for each document type.

2. You can view the document on-site or download a PDF or Word document pre-filled with the transaction data for your review.

3. Open a document in the built-in editor to make necessary changes, invite your team members or external users to review the document or make suggestions.

4. The modified template will then acquire a 'deal' status, indicating that it will be used in the ongoing transaction. After creating or saving a deal draft, the selected system and personal templates, if unmodified, will also receive a 'deal' status.

If, for some reason, you do not plan to use the automated template for some documents, you can select SKIP.

You can also view and modify deal templates during the transaction if necessary. At this stage, only deal templates are available.

Document Signing

In the course of the transaction, you have the oportunity to download a pre-filled document, wet sign it and upload it back or send the docuemnt to counterparties - buyers and sellers- for digital signing via Docusign.

The broker will be notified when either of the parties signs the document.
